Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website, mobile applications, and services provided by CommandGrid CRM LLC ("CommandGrid," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

2. Use of the Services

We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services in accordance with these Terms. You agree to use the Services only for lawful business purposes and in compliance with all applicable laws and regulations, including telecommunications, messaging, and consumer-protection laws.

3. Acceptable Use

You agree not to:

  • Use the Services to send unlawful, unsolicited, or unconsented messages or calls;
  • Violate any applicable law or third-party rights;
  • Attempt to gain unauthorized access to the Services or interfere with their operation;
  • Reverse engineer, resell, or misuse the Services or their content;
  • Upload malware or engage in fraudulent or abusive activity.

You are responsible for obtaining all necessary consents from individuals before sending them communications through the Services.

4. SMS / Text Messaging Program Terms

These program terms apply to text messages sent or received through CommandGrid.

  • Program description. When you opt in to the CommandGrid messaging program (or a program operated by a CommandGrid customer using our platform), you may receive recurring SMS/text messages related to appointments, dispatch updates, estimates and invoices, service notifications, account and customer-service communications, and related business messages.
  • Message frequency. Message frequency varies.
  • Cost. Msg & data rates may apply. Message and data rates may apply according to your mobile carrier's plan; CommandGrid is not responsible for charges from your wireless carrier.
  • Opt out. You can cancel the SMS service at any time. Reply STOP to opt out. After you send STOP, we will send a confirmation message and then stop sending SMS messages. You may receive additional messages confirming your opt-out.
  • Help. For help, reply HELP at any time, or contact us at info@commandgridcrm.com. You can also reach support using the details below.
  • Carriers. Supported carriers may change, and carriers are not liable for delayed or undelivered messages.
  • Consent. By providing your mobile number and opting in, you consent to receive the messages described above at that number, including messages sent using automated technology. Consent is not a condition of purchase.
  • Privacy. Your privacy matters to us. Information you provide in connection with the messaging program is handled in accordance with our Privacy Policy. Customer mobile information and SMS/text-messaging opt-in consent are not shared with third parties or affiliates for marketing or promotional purposes.

5. Customer Data

You retain ownership of the data you and your team submit to the Services ("Customer Data"). You grant CommandGrid a limited license to host, process, and use Customer Data solely to provide and improve the Services and as otherwise permitted in our Privacy Policy. You are responsible for the accuracy and legality of Customer Data and for having the rights and consents necessary to provide it to us.

6. Fees and Payment

Fees for the Services are described in your order or quote. Unless otherwise stated, fees are billed in advance, are non-refundable except as required by law, and are exclusive of taxes. We may suspend or terminate access for non-payment.

7. Intellectual Property

The Services, including all software, text, graphics, and trademarks (other than Customer Data), are owned by CommandGrid or its licensors and are protected by intellectual-property laws. These Terms do not grant you any rights to our trademarks or branding without our prior written consent.

8. Third-Party Services

The Services may integrate with or rely on third-party services, including telecommunications and messaging providers. Your use of those services may be subject to their own terms, and we are not responsible for third-party services we do not control.

9. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the maximum extent permitted by law, CommandGrid and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or related to your use of the Services. Our total liability for any claim arising out of these Terms will not exceed the amounts you paid to us for the Services in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless CommandGrid from any claims, damages, liabilities, and expenses arising out of your use of the Services, your Customer Data, your messaging activities, or your violation of these Terms or applicable law.

12. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Services or other users. Upon termination, your right to use the Services ends, and certain provisions of these Terms will survive.

13. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any disputes will be resolved in the state or federal courts located in Florida, and you consent to their jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
